
Strategic management in the Bayer Group is kept separate from everyday business operations. The subgroups and service companies operate independently under the guidance of the management holding company Bayer AG.
Bayer AG is the management holding company of the Bayer Group. Its four-member Board of Management - the Group Management Board - determines Group strategy, decides on the portfolio, appoints executive staff, allocates resources and oversees financial management.
Certain governance, support and service functions for the Group Management Board are performed by the departments in the Corporate Center.
The subgroups Bayer HealthCare, Bayer CropScience and Bayer MaterialScience from now on will focus more closely on future-oriented, innovation-driven businesses based on knowledge, experience and expertise that harbor significant growth potential. They are independent companies with global responsibility for their businesses and their own management teams.
Central service functions will be performed by the service areas Bayer Business Services (which also includes administrative services), Bayer Technology Services (also responsible for engineering functions) and Bayer Industry Services (responsible for sitespecific services). The services of these three units are available primarily to other units of the Bayer Group, but also to external customers.
The Bayer organizations for the various countries or groups of countries around the world support the activities of the business areas at local level. They are being adapted in most cases to reflect the above changes in the Group structure, with new legal entities also being established where necessary or appropriate.
